Lowenstein Sandler Announces Four New Members

New York, NY and Roseland, NJ – Lowenstein Sandler has elected four attorneys as Members of the Firm, effective January 1, 2012: Richard Bernstein and Matthew A. Magidson in the Investment Management group, Richard J. Horne in the Business Tax Counseling & Structuring group, and Michael T.G. Long in the Litigation Department.

Richard Bernstein provides counsel to pooled investment vehicles, major corporations and family-owned businesses on matters related to mergers and acquisitions, finance, derivatives and business law.  Prior to becoming an attorney, Mr. Bernstein spent 18 years in the real estate development, finance and M&A industries, where he led numerous acquisition, financing and disposition transactions, including transactions in the United States, Europe and the former Soviet Union.  Mr. Bernstein is also a Certified Public Accountant.

Mr. Bernstein earned his J.D. from Rutgers University School of Law – Newark, with high honors, and a B.S. from Babson College.

Richard J. Horne practices in the firm’s Business Tax Counseling & Structuring group, where he focuses on the tax aspects of business transactions and investment funds.  He structures, negotiates and documents business and investment transactions, including international and domestic mergers and acquisitions, reorganizations, spin-offs, securitizations, joint ventures, initial public offerings, and other capital markets transactions.  He is also active in hedge fund and private equity fund formation, and venture capital and private equity investments.

Mr. Horne received an LL.M. in Taxation from New York University School of Law, his J.D. from Hofstra University School of Law, and a B.A. in Economics from University of Michigan.

Michael T.G. Long represents clients in a wide variety of white collar matters involving allegations of antitrust and international cartel violations, tax evasion, mail and wire fraud, health care fraud, bribery and public corruption, and perjury and obstruction of justice.  Mr. Long has also conducted numerous internal investigations and has represented professional clients in licensing matters.  His practice also includes complex civil litigation and appellate matters, such as environmental remediation actions, construction litigation, insurance coverage matters, and regulatory proceedings.  Mr. Long has extensive experience counseling corporate and individual clients with regard to campaign contribution regulations, with particular expertise handling “pay to play” compliance and enforcement matters.

Mr. Long earned his J.D. from Seton Hall University School of Law, summa cum laude, and a B.A. from Boston College.

Matthew A. Magidson is Chair of Lowenstein Sandler’s Derivatives practice group and a member of the Investment Management group.  Mr. Magidson has more than 13 years experience negotiating derivatives transactions and trading agreements for hedge funds, corporate end-users, and broker-dealers. Prior to joining Lowenstein Sandler, he served as Associate General Counsel at Smith Breeden Associates, where, amongst other duties, he managed the derivatives documentation function for their hedge funds and separate accounts.

Mr. Magidson earned his J.D. from Georgetown University Law Center, cum laude, an M.B.A. from the University of Minnesota, and a B.S. in Business Administration from Washington University.
