Napa's Largest Hospital Offloaded To Solano County Amid $5M Loss

Providence, owner of Healdsburg Hospital, shut down wards in two Sonoma County hospitals. Now the giant is offloading a Napa facility.

NAPA VALLEY, CA — In a move that signals both local change and a broader shift in American health care, Providence has agreed to transfer ownership of Queen of the Valley Medical Center and its affiliated clinics to NorthBay Health, setting the stage for a major transition in how care is delivered across Napa County.

The definitive agreement, announced April 9, marks a critical step forward after the two organizations signed a letter of intent last month.

Leaders say the deal reflects a deliberate realignment as the health care conglomerate Providence narrows its focus and NorthBay expands its footprint in Northern California.

Providence executives said in a statement that the decision follows a months-long evaluation of how best to sustain high-quality care amid mounting pressures on the U.S. health system. The organization is pursuing a long-term strategy to concentrate resources in regions where it can operate most effectively.

NorthBay Health leaders, meanwhile, said they will build on the hospital’s six-decade legacy by investing in clinical services, maintaining community programs, and extending employment offers to current staff. Administrators also pledged to meet seismic safety standards and continue supporting local philanthropic efforts tied to the hospital’s foundation.

“This agreement represents an important step toward expanding access and strengthening care close to home,” NorthBay Health President and CEO Mark Behl said in a statement.

In a controversial move, Providence closed down the Family Birthing Center labor and delivery unit at Petaluma Valley Hospital. Providence was forced to pay $10 million over the closing. Obstetrics care is now consolidated at Santa Rosa Memorial Hospital, where Providence also closed the impatient pediatric unit. Healdsburg Hospital is operated by Providence.

The transition, which will affect about 1,000 workers, underscores a growing trend: regional systems taking on greater responsibility for community-based care as larger networks streamline operations.

For Providence, officials said the move reflects a strategic pivot toward systemwide transformation aimed at reshaping care delivery by 2030.

Regulators must still review and approve the transaction. If cleared, officials expect the transfer to be completed by the end of 2026.
