Cynthia R. Beyea focuses her practice on advising mutual funds, closed-end funds, ETFs, investment company boards of directors and investment advisers. Ms. Beyea concentrates on issues involving the Investment Company Act of 1940, the Investment Advisers Act of 1940 and related federal securities laws. She assists investment company clients with registration, reporting and disclosure requirements, as well as with fund governance and compliance matters. She also regularly advises clients with respect to Section 529 College Savings Plans. Ms. Beyea is based in the Washington DC office.
David M. McCullough counsels energy and commodity trading companies on the legal and commercial landscape governing the production, trade and movement of oil, renewable fuel, natural gas and other commodities. He provides advice on environmental credit trading, import and export controls, federal and state fuel standards, contractual agreements, and shipping by land and water as well as liability in the event of an incident. He also advises clients on environmental issues related to energy resources and development. Mr. McCullough is based in the New York office.

Brian M. Murphy advises public and private companies on commercial, merger and acquisition, and other corporate matters, including the purchase and sale of businesses, the structure of joint ventures and other strategic business alliances, the negotiation of complex commercial arrangements, technology transfer and licensing transactions, and corporate governance issues. He regularly advises clients in the payment card, financial services and electronic commerce industries. Mr. Murphy is based in the Atlanta office.
Brennan A. Posner advises commercial borrowers and lenders on senior, second lien and subordinated financings; working capital and leveraged acquisition financings; accounts receivable financings; equipment financings; lines of credit; letter of credit transactions; and loan syndications and participations. In structured finance matters, Mr. Posner represents an array of clients in commercial loan portfolio financings, including collateralized loan obligation (CLO) transactions, warehouse facilities and receivables securitizations. Mr. Posner also counsels borrowers and lenders financing oil, gas and electric projects. Mr. Posner is based in the Atlanta office.
Meghana D. Shah has experience representing businesses in internal investigations, both domestically and internationally. She also regularly defends businesses in complex commercial litigation, counseling clients in class action, product liability, environmental and maritime industry matters. Ms. Shah has extensive experience representing individuals and entities before regulatory and administrative bodies on a broad range of matters including defense of breach of contract, fraud, misrepresentation, legal malpractice, product liability and tort claims. Ms. Shah is based in the New York office.
Wes Sheumaker serves clients in federal income tax matters, including domestic and international tax planning and transactional matters involving partnerships, limited liability companies and corporations. He advises publicly traded and private corporations, including S corporations, in both taxable and nontaxable mergers and acquisitions. In addition, Mr. Sheumaker represents businesses and individuals in federal tax controversies, defending them in IRS audits and matters before the IRS Office of Appeals and the U.S. Tax Court. Mr. Sheumaker is based in the Atlanta office.
Maria M. Todorova helps clients navigate through all aspects of complex state and local tax controversy, including audits, administrative appeals and litigation; optimize their state tax burdens through business restructurings; negotiate favorable settlements with state and local tax jurisdictions; and advocate beneficial state tax policy positions. She routinely provides strategic state tax advice and advocacy to national and international companies across a wide range of industries, including energy, technology, telecommunications, retail and e-commerce. She advises on the full spectrum of state and local tax issues, including matters involving franchise and income, telecommunications, sales and use, and property taxes, and key related issues including combined reporting, nexus, apportionment, sourcing, taxability, and federal and state constitutional issues. Ms. Todorova is based in the Atlanta office.
