CBDP Board of Directors and Annual Meeting Minutes

Call to Order- 6:35 PM.
Attendees: Barbara Cappellina, John Cappellina, Hilary Sandler, Mary Bassing, Bud Bassing, Wolfgang Fattler, Rosita Fattler, Lisa Hendrickson, Barb Chester, Susan Eldredge, Elaine Grace, Leanne Jacques, Angelique Viamari, Jane Mika.

Approval of December minutes. Changed locations of board meetings to “for 2012” instead of “until further notice”. Elaine motioned to accept as amended; Lisa seconded. Passed unanimously.
Old Business
President’s Comments. Not much movement on the site front as the Town Government is still trying to re-assemble itself. Our relationship with the Town needs defining and will likely come together after the appointment of a new Town Manager. We are waiting for the proposal to be completed before going forward to civic associations or the like. Our top visits would include the Barnstable Civic Assn, the Recreation Dept, and the Town engineer and surveyer.
Committee Reports
Fundraising. Mary reported that they have started discussion for on-line shopping options. The calendar idea was shelved until next year (late 2012). Flyers for the Wimpy’s fundraiser are out. Notices have been placed on Facebook, newspapers, and radio stations. There was a request for a public address system and Hilary said she had access to a portable one. She would get it to one of the members of the FR committee.
Planning. Barb Chester reported that the cmte is working on the budget and the proposal. They hope to present something to the whole group when it is closer to being done. Meeting again on Monday.
ByLaws. Several changes to the bylaws were proposed. Accepted changes include Sections 2.3 (membership running from Jan-Dec) with John motioned, Elaine seconded; deletion of 2.4 (adherence to Town laws and regulations), John motioned, Elaine seconded; 5.7 (addition of term of office language), Elaine motioned, Barb Chester seconded; 7.1 (addition of BOD language), John motioned, Susan seconded; 7.7 (vacancies of board members), Mary motioned, John seconded; and 9.2 (deletion of the number 3 from 501c), John motioned, Elaine seconded. All were passed unamiously by voice vote.
Treasurer’s Report. Hilary reported that since December, we deposited $738.91. This included $278 from gift wrapping, $100 in paw beads, 1 regular membership with the remainder from jar monies. We paid out $400 to the IRS for our 501c3 filing, $74.99 for printing and costs related to the raffle (Wimpy’s) plus $7.43 to mail the filing fee return receipt. We have a current balance of $4,569.77.
The 1023 forms and related documents were sent to the IRS on December 29, 2011. We received the return receipt on January 3, 2012. If there are no issues with our application, typical response time is within 90 days. The IRS is currently dealing with applications received June 2011.
Web Site. Barb Chester reported that the old site is moved to a new host; work on the new site is on-going simultaneously. Maria Silva has resigned as web master. The new system will be much more flexible as the web site will not be situated on one machine (as it is currently).
Other news. There was discussion on the Town’s I-forum and folks were encouraged to go to the site and make favorable comments about the dog park. The Town is taking comments very seriously. www.barnstableiforum.org.
New Business
Elections. The following slate was put forward. Wolfgang motioned to accept the board in its entirety and Susan seconded. The following slate was accepted unanimously by voice vote:
